Governance
The Board is committed to undertaking its role in accordance with best corporate practice.
The governance policies, practices and processes as applied by the Board, are defined within the Statement of Board Governance and Board Charter.
The best practices followed have been based on the contents of the following:
- The Institute of Directors in New Zealand (Inc) publication “The Four Pillars of Governance Best Practice for New Zealand Directors.
- Handbook published by the FMA headed “Corporate Governance in New Zealand Principles and Guidelines, A Handbook for Directors, Executives and Advisors.”
- Though not a member of the NZX Exchange we have referred to the “NZX Corporate Governance Code”

The Statement of Board Governance
Comprised of 8 principles, including the descriptions of the three standing committees, the Statement is a critical component of the overall Governance function.
Defining the Company’s direction
The role of the Charter is to define the Company’s direction and to set operational goals that deliver for stakeholders. This is an additional critical component of the overall Governance function and dynamic.
